STUDIO 44 PRODUCTIONS LLC - TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a legally binding agreement between Studio 44 Productions LLC (“Producer,” “we,” “us”) and the client (“Client,” “you”) governing all photo, video, and production services booked via www.studio44.pro or otherwise agreed in writing.

By booking services, paying a retainer, or engaging the Producer, the Client agrees to these Terms in full.

 

1. Compliance with Law

Producer operates in accordance with all applicable laws of the State of New York and New York City, including consumer protection and data privacy laws. Nothing herein limits any non-waivable statutory rights.

 

2. Definitions of Services

2.1 Full-Service Production

Full-service projects include pre-production, production, and post-production. Producer provides necessary crew, equipment, and creative direction.

2.2 Crew Hire

Crew hire refers to Producer personnel hired for specific roles (e.g., Director of Photography, Camera Operator). These projects may be produced by third parties.

  • Payment for crew hire is Net 15 unless otherwise agreed
     

  • Equipment (“kit fee”) is billed separately if applicable
     

 

3. Scope of Services & Costs

Services include only those explicitly listed in the quote or invoice issued by Studio 44 Productions LLC.

3.1 Included Services

Typically include:

  • Shooting time (including setup and wrap)
     

  • Basic editing (if applicable)
     

  • Delivery of final files
     

3.2 Additional Costs

The following are not included unless specified:

  • Transportation time and travel fees
     

  • Equipment rentals beyond standard kit
     

  • Talent, permits, locations, or third-party costs
     

  • Music licensing and graphic design
     

  • Additional revisions or extended runtime
     

All additional costs will be billed to the Client.

 

4. Time, Scheduling & Overtime

  • Setup and breakdown time are included within booked hours
     

  • Time begins at scheduled call time regardless of Client delay
     

  • Overtime is billed at Producer’s standard hourly rate
     

 

5. Booking, Payment & Billing

5.1 Retainer

  • A non-refundable retainer (typically 50%) is required to secure booking
     

  • Producer is not obligated to reserve dates without payment
     

5.2 Payment Terms

  • Crew-only / production-only: balance due by shoot day
     

  • Full-service: balance due upon draft approval prior to final delivery
     

  • Producer may withhold deliverables until payment is complete
     

5.3 Late Payment

Producer reserves the right to:

  • Suspend work
     

  • Withhold files
     

  • Charge late fees where permitted by law
     

5.4 Estimated Budgets

Quotes are estimates and may vary depending on project requirements.

 

6. Cancellation, Rescheduling & Date Changes

  • Retainers are non-refundable
     

  • One reschedule allowed with ≥72 hours notice, subject to availability
     

  • Late changes (<72 hours) require a new retainer
     

  • Client is responsible for any costs incurred due to changes (travel, rentals, etc.)
     

 

7. Post-Production & Revisions

7.1 Editing Process

  • First draft delivered per agreed timeline
     

  • Deliverables match agreed format and scope
     

7.2 Revisions

  • Includes one (1) round unless otherwise agreed
     

  • Additional revisions are billed
     

  • Standard revision turnaround: 3 business days
     

7.3 Client Delays

If a client delays feedback beyond 14 days, remaining balance becomes immediately due regardless of revision status.

7.4 Editing Requirements

  • Client must provide timestamps if no Director was hired and in charge
     

  • Assets (logos, fonts, graphics) must be provided by Client unless design services are purchased
     

 

8. Music, Licensing & Copyright Compliance

  • Only properly licensed or royalty-free music may be used
     

  • Client is responsible for licensing fees unless otherwise agreed
     

  • Producer is not liable for copyright violations caused by Client-provided materials
     

 

9. Deliverables & File Handling

9.1 Delivery

  • Delivered via online link (watermarked drafts, final downloadable files)
     

  • Final files released only after full payment
     

9.2 Raw Footage

  • Not included unless purchased separately
     

  • If provided:
     

    • For internal use only
       

    • Cannot be redistributed, re-edited, or published, unless there was an agreement
       

9.3 Storage

  • Files retained for 30 days maximum
     

  • Client is solely responsible for download and backup
     

  • Producer is not liable for data loss after 30 days period
     

 

10. Client Responsibilities

Client agrees to:

  • Arrive on time and adhere to schedule
     

  • Follow safety guidelines
     

  • Secure permits, releases, and permissions
     

  • Ensure lawful and appropriate conduct of all participants
     

Producer is not responsible for:

  • Actions or statements of talent
     

  • Missed content due to interference (guests, third parties, etc.)
     

11. Creative Control & Satisfaction

  • Client acknowledges Producer’s artistic style and discretion
     

  • Producer retains full creative control over production and editing decisions
     

  • Payment may not be withheld due to subjective dissatisfaction if deliverables meet agreed scope
     

 

12. Copyright & Usage Rights

12.1 Ownership

Studio 44 Productions LLC retains full copyright ownership of all content.

12.2 Client License

Client receives a non-exclusive, non-transferable license for agreed use.

Client may NOT:

  • Resell content
     

  • Transfer rights
     

  • Allow third-party commercial use without consent
     

12.3 Portfolio Use

Producer may use content for:

  • Portfolio
     

  • Website
     

  • Marketing
    unless restricted by written NDA
     

12.4 Buyout

Full copyright transfer requires:

  • Separate written agreement
     

  • Additional fee
     

 

13. Drone & Specialized Services

Drone services are conducted in compliance with FAA and applicable laws.

Producer is not liable if:

  • Drone operation is restricted due to legal or safety limitations
     

 

14. Audio & Technical Limitations

  • Audio recording included only if specified
     

  • Producer is not liable for uncontrollable technical issues
     

 

15. Weather, Force Majeure & External Factors

Producer is not liable for delays or failure due to:

  • Weather
     

  • Traffic
     

  • Equipment risk conditions
     

  • Government restrictions
     

  • Force majeure events
     

 

16. Limitation of Liability

To the fullest extent permitted by law:

  • Producer is not liable for indirect, incidental, or consequential damages
     

  • Total liability is limited to the total amount paid by Client
     

 

17. Safety & Release of Liability

Client assumes all risks related to production.

Producer is not responsible for:

  • Injuries
     

  • Property damage
     

  • Unsafe conditions not caused by Producer
     

 

18. Data Privacy

Client data is handled in accordance with applicable laws and is not sold or shared except as necessary for service delivery.

 

19. File Delivery & Same-Day Transfers

  • Same-day transfers must occur within booked time
     

  • Overages billed hourly
     

  • Not applicable to full-service editing projects
     

 

20. Exclusivity (Events Only)

If agreed, Producer may act as sole videographer.

Client is responsible for managing guest interference.

 

21. Public Posting & Credit

Client may publish final work provided licensing rules are followed.

Producer is not liable for platform copyright enforcement.

Crediting Producer is encouraged but not required.

 

22. Amendments

All amendments must be:

  • In writing
     

  • Signed by both parties
     

23. Acceptance

By booking services, signing an agreement, or submitting payment, Client confirms acceptance of these Terms.
