TERMS OF SERVICE

These Terms of Service govern the relationship between Studio 44 Production and its clients.

By booking photo, video, or related visual content services through our website (www.studio44.pro),  you ("the Client") agree to be bound by these Terms.

These Terms constitute an agreement between the Client and Studio 44 Production ("Studio", "we", "us").

1. Compliance with Law

We operate in full compliance with applicable New York City and New York State laws, including regulations regarding consumer protection, contract transparency, and data privacy. Nothing in these Terms is intended to waive mandatory consumer rights granted under NYC law.

2. Scope of Services and Fees

We provide professional photo and video production services as described in your selected package or custom agreement. Standard services include shooting time, professional direction, specified basic editing or post-production, and electronic delivery of final files.

Setup and Wrap Time: Please note that time required for setup and tear-down is included within your booked shooting time. Any additional time required due to Client delays will be billed at the Studio’s standard hourly rate.

3. Booking, Payment, and Cancellation Policy

Booking Confirmation: Your booking is confirmed only upon our receipt of a 50% non-refundable retainer.

Final Payment: The remaining balance must be paid in full no later than the day of the shoot, before the session begins.

Cancellation and Rescheduling:

• Retainers are non-refundable if the Client cancels the project.

• You may reschedule a session once, subject to our availability, provided you give us at least 48 hours' notice before the originally scheduled time.

• Cancellations or rescheduling requests made with less than 48 hours' notice will require a new retainer to secure a future booking.
   

4. Deliverables and File Retention

We will edit and deliver the final images and/or video files within the timeframe outlined in your specific package. Raw files and unedited footage are not included in deliverables unless explicitly purchased separately.

Client Responsibility for Data Storage:

Once the final files are delivered electronically, Studio 44 Production will keep copies on our active servers for a minimum period of 14 days. It is the Client’s sole responsibility to download and securely save all provided data within this 14-day window. After this period, the data may be deleted from our systems to manage server space, and the Studio is not responsible for long-term archiving or retrieval of files past this point.

5. Copyright and Usage Rights

Copyright Ownership: Under U.S. copyright law (including NYC jurisdiction), Studio 44 Production retains full copyright ownership of all photographs, video footage, and content created during the project.

Studio Usage Rights: Unless a separate written non-disclosure agreement is signed, booking our services grants Studio 44 Production the standard right to use the created content for our portfolio, website, social media, marketing, and promotional materials.

Client Usage License: Upon final delivery, the Client receives a non-exclusive, non-transferable license to use the visual media for personal or commercial purposes specified in the purchased package. This license does not permit resale of the media or transferring rights to a third party for their commercial use.

Full Copyright Buyout: If the Client requires exclusive ownership (a full copyright transfer), this must be discussed in advance, confirmed in a separate written agreement, and is subject to payment of an additional buyout fee.

6. Client Responsibilities on Set

To ensure a successful production, the Client is responsible for arriving on time, following studio safety rules and staff direction, securing necessary third-party permissions (such as location permits or talent releases), and ensuring all participants behave safely. The Studio is not liable for delays or cancellations resulting from the Client's failure to meet these responsibilities.

7. Limitation of Liability

Studio 44 Production is not liable for lost profits, incidental damages, or circumstances beyond our reasonable control (including weather events, accidents, or force majeure). Our total liability is limited to the total monetary amount paid by the Client for the service.

8. Data Privacy

We handle all personal information according to applicable NYC and NY State privacy regulations. We do not sell client data or share it with third parties, except as strictly necessary for service delivery.

9. Amendments

Any specific changes or deviations from these standard Terms for a particular project must be agreed upon in writing and signed by both parties.
